Only the President of the ASU has the authority to sign the award of contracts, unless this authority has been expressly delegated in accordance with the policy of the ASU Contract Authority (PUR107). These delegations are limited to certain types of contracts and dollar amounts. Please follow this policy and the list of signature delegations if you are asking whether the relevant administrator should approve a contractual relationship. If your position has not been delegated with the signature authorisation under this Directive, you do not have the right to establish contractual relations on behalf of asu. Failure to comply with academic guidelines on contracts may result in the loss of insurance coverage and personal liability of an employee (R.S.A. 35-154). The requesting department is responsible for defining and approving the terms and conditions of a contract and all potential risks related to the relationship/transaction. The general conditions include, but are not limited to, the services to be provided, the fees, the terms of payment, the duration (start date and end date) and the services. The advertiser is expected to negotiate favorable trading terms for Brown. The requester, with delegated signing authority, should be informed and accepted of the proposed terms and conditions, risk management and relationship and/or transaction. If Brown pays money, the department must ensure that it has sufficient resources for the purchase. To see who has delegated the authority to sign a contract, read the OGC and approve the legal terms of certain contracts that exceed $US 100,000.

To enable OGC to verify and approve and/or design a contract, please contact OGC as soon as possible to indicate a reasonable period of time before the likely start of the relationship. The requesting department is encouraged to arrange a meeting or conference call with an OGC lawyer to discuss your needs for a contract and the goals you wish to achieve. In order to streamline and simplify the contracting process, OGC has developed and approved standard template agreements that can be used by campus offices for routine transactions or relationships. Such agreements should, as far as possible, be used. In the absence of amendments, there is no obligation to return these contracts to OGC for approval. The requesting department simply fulfils the conditions and the agent signs the contract. If the requesting service requires a standard model agreement for frequent use and it does not currently exist, please contact OGC to create an agreement specific to the division`s needs. The Office of General Counsel maintains a list of officials to whom the President has delegated signing authority and the extent of delegated authority. Note: The signed authority, delegated to the following positions, does not include the right to sign contracts granting exclusive rights that must be approved in advance by the President`s Executive Committee. .
